PSA: Today, @zamees publicly announced the creation of a “City Council” — assigning specific individuals roles of power or influence — without a DAO vote, without tokenholder consensus, and without onchain ratification. None of the listed individuals currently hold any $CITY tokens and they were not nominated or approved through a proposal. This move concentrates governance authority in a non-tokenholding, unelected group and was done unilaterally by @zamees who already controls a significant portion of voting power. Power and responsibilities should be delegated by proposal and community vote. Appointing roles without DAO input undermines that system. A significant concern raised in Discord today was @zamees public post declaring that any proposals not aligned with his outlined process “will be vetoed.” This is incompatible with Creative Commons, OSI standards, and the ethos of DAOs. City Nouns was founded on Creative Commons and /builder forkable model. We must protect that.

(1/2) I’d like to respectfully clear up some of the inaccuracies and assumptions being circulated: + Council members do hold tokens, with the exception of one individual who is currently offline and on vacation. These are not outsiders; they are aligned contributors who have followed the project closely and stepped forward with sincere interest in helping shape its path. + This process has not been unilateral. Following Mary’s resignation, our first responsibility was to replace her multi-sig role to maintain operational integrity. From there, we expanded the Council to include individuals with relevant expertise and a track record of working well together. Every decision has been discussed and aligned with at least one or more other Council members.

(2/3) + The Council’s scope is clearly defined in the draft governance framework:   1. Steward the Council Wallet   2. Oversee the Grants Wallet   3. Serve as the first layer of review for conduct issues These responsibilities are significant but intentionally bounded. Framing them as a centralization of power is a disproportionate reading of the actual roles and responsibilities outlined.

(3/3) Mary’s resignation occurred early in the project, just weeks after our initial grant funding. At the time, we were still building the DAO’s infrastructure — and when she deleted the original Discord rather than transitioned it, we lost our main gathering space. In that moment, bringing on trusted contributors who were already close to the project wasn’t a power move, it was a stabilizing one. At this formative stage, “foundational” means more than just tokenholding and voting rights. It includes stabilization, strategic input, shared responsibility, and the expertise to move forward thoughtfully. As laid out in the governance framework, Council roles include term limits and will evolve through community participation, with mechanisms for renewal and replacement. Finally, while disagreement is natural and welcome, we believe it should be voiced in a way that reflects the community culture we aspire to build: rooted in clarity and mutual respect. Let’s model that together.

Thank you for the clarification, Bob. There’s no disagreement that City Nouns needs stability and thoughtful input. But we must respectfully point out: Council roles were not introduced via proposal or DAO vote. Tokenholder verification of Council members hasn’t been provided. The veto language, removal of a founder, and dismissal of pre-existing bylaws all happened without onchain consensus. These aren’t just “perspective differences” — they’re real structural concerns. We ask that you: Share wallet addresses for Council members claiming token alignment. Clarify the off chain, private decision-making process that led to Mary’s removal from the multisig. City Nouns must be built on transparency and distributed governance, not retrospective approval of closed door decisions already made. Let’s ensure we model what a community-led DAO truly means
