Today we released the Open Cap Table Protocol (OCP) whitepaper: the onchain infrastructure making equity programmable. If you believe ownership should move like code, this is the spec 🧵

2/ Cap tables today are still stuck in PDFs, Excel files, SaaS private databases and legal workflows. OCP replaces that with smart contracts, wallet-based ownership, and real-time compliance - already in production.

3/ OCP is: ✅ Open source (MIT-licensed) ✅ Aligned with OCF from the Open Cap Table Coalition ✅ Compliant by design ✅ Supported by SEC-registered Transfer Agent

4/ What it does: ✔︎ Turns equity into smart contracts ✔︎ Enforces transfer rules at the protocol level ✔︎ Keeps cap tables accurate in real time ✔︎ Gives investors self-custody, verifiable ownership

5/ OCP is live and production-grade. It already powers thousands of stakeholders and sets the foundation for regulated DeFi in equity. It enables secondary markets, programmatic vesting, and automated compliance, all built in from day one.

6/ This week, SEC Chairman Atkins said that on-chain securities have “the potential to remodel aspects of the securities market.” OCP does exactly that. Not a wrapper. Not a layer. A system of record.

So sick. Curious, why do you think onchain equity / fairmint isn’t 100x bigger than it is today? Regulation? education? What’s the biggest roadblock? Where have you found the most PMF in terms of industries/usecases?

Appreciate it Nir 🙏 I think it boils down to incentives and inertia. Regulation? Solvable. We’ve been operating under Reg D/Reg S with full legal compliance for years. Education? Takes time, but once people see programmable equity in action, it clicks. Honestly, the biggest roadblock is that intermediaries (SaaS platforms, cap table vendors, SPV-as-a-service shops, lawyers…) benefit from opacity and complexity. Onchain equity threatens that model. It makes ownership transparent, programmable, and composable. And let’s be real. Until just a few months ago, saying “blockchain” in the equity world was basically blasphemy. That’s finally changing. This space will 100x. It just needs time and resilient builders on a mission. We started @fairmint with my co-founder @thibauld more than 6 years ago. The stars are finally aligning ⭐️⭐️⭐️⭐️⭐️

thanks for an awesome answer :) let's say these small apps on believe wanted to tokenize as equity, how much more effort/friction does that have than launching from a tweet or pump? what's the best pitch to new companies today to use this over incumbents?

Great follow-up 💜 It’s late & I started early, so my brain might be fading, but here’s my best 3am shot: - if a small app wants to 'tokenize as equity', the legal lift is about the same as launching a SAFE, which most startups already do (& it costs almost nothing). We just plug that into a wallet-native, programmable stack. Think Otoco entity as one option. Yes, there’s more friction than a tweet or a meme coin. And yes, you need to respect securities laws. But it’s still way easier, faster & cheaper than Carta or any SPV-as-a-service shop. And the outcome is 10x better: real ownership, real financial rights, programmable from day one. The pitch 🤔 If you're starting something new & believe your early users or community deserve skin in the game, this is the cleanest & most compliant way to do it. No SPV. No PDFs. No off-chain promises. Just equity that lives onchain & is self-custodied by investors until movement happens => in regulated DeFi ( whitepaper #2 😉 )

And if you want to keep control of your captable destiny, go onchain.

This is beyond cool! Love how you’ve tackled PII by keeping it offchain, & the general open-ness you’re committed to when it comes to building and licensing this. Joining the waitlist now, but also curious - are Fairmint or the Coalition hiring, by chance? Feel free to drop me a DC if you’d like to chat! (And again, this is so cool - big congrats, most I’ve enjoyed reading a whitepaper in quite a while!) —
